The Management Board of Synektik SA announces that on September 2, 2025, the Issuer received auditor’s report on the audit of the Company’s Division Plan, prepared in accordance with Article 537(1) in conjunction with Article 538(1) of the Commercial Companies Code by an auditor appointed by the competent Registry Court.
The report confirms the correctness and reliability of the Company Division Plan, in particular the share exchange ratio and the valuation methods used to determine the exchange ratio of the shares of the divided company (Synektik SA) for the shares of the acquiring company (Syn2bio SA).
The division concerns the research and development activities of the Synektik Group, including the Cardiotracer and the Centre for Research on New Particles.
